By submitting your Products to the Website, Suppliers agree to be bound by these Terms and Conditions.

1. Rights and Responsibilities

1..1. Supplier Guarantees

Suppliers guarantee to The Sound Ape that they have the full legal rights and authority to submit Products for distribution on the Website. Suppliers affirm that they possess all necessary licenses, rights, consents, and permissions to allow US to offer the Products as free downloads to users of the Website.

1.2. Provision of Download Links

Suppliers must provide The Sound Ape with a direct download link for each Product submitted. This link must lead directly to the Product file, allowing for a straightforward and hassle-free download process for the end user. We reserve the right to test the functionality of the provided download links and to reject any Product submissions with non-functioning or misleading links.

2. Privacy and Data Protection

2.1. Non-Disclosure of Customer Information

The Sound Ape commits to maintaining the confidentiality of personal information of customers who download Products. This includes not sharing the full names, email addresses, or any other personal data of the customers with Suppliers or any third parties, except as required by law.

2.2. Compliance with Privacy Laws

The Sound Ape commits to comply with all applicable privacy laws and regulations in the protection and use of customer data obtained through the Website. The collection, use, and disclosure of such information will be conducted in a manner that respects the privacy of individuals and is consistent with the privacy policy of The Sound Ape.

3. Cancellation and Removal of Products

3.1. Cancellation by Supplier

Suppliers may cancel this agreement at any time by providing written notice via email to The Sound Ape Upon receipt of such cancellation request, The Sound Ape commits to removing the specified Product(s) from the Website within seven (7) days.

3.2. Removal Guarantee

The Sound Ape guarantees that upon receiving a valid cancellation request from a Supplier, the requested Product will be promptly removed from the Website, ensuring no further downloads are possible post-removal.

4. Indemnification

​

Suppliers agree to indemnify and hold harmless The Sound Ape, its directors, officers, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Any breach of the representations and warranties made by Suppliers herein.

• Any claim that a Product infringes the rights of a third party.

5. Amendments

​

The Sound Ape reserves the right to modify these Terms and Conditions at any time. Such modifications will be effective immediately upon posting the revised Terms and Conditions on the Website. By continuing to submit Products to the Website, Suppliers agree to be bound by the revised Terms.

6. Governing Law

​

These Terms and Conditions shall be governed by and construed in accordance with the laws of Spain, without giving effect to any principles of conflicts of law.

By submitting Products to The Sound Ape, Suppliers acknowledge that they have read, understood, and agree to be bound by these Terms and Conditions.
